The rules and agreements governing your use of SaaSfolio.

1. Acceptance of Terms
By accessing or using SaaSfolio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SaaSfolio ("we," "us," or "our"). By creating an account, you confirm that you are at least 16 years of age and have the legal capacity to enter into this agreement.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
SaaSfolio is a portfolio management platform designed for software investors, lifetime deal (LTD) buyers, and agencies. The Service enables users to:
- Track software tool investments, costs, and revenue
- Analyze return on investment (ROI) and portfolio performance
- Manage client relationships and revenue streams
- Generate analytics, charts, and portfolio reports
- Export portfolio data
- Configure custom domains and SMTP settings (Premium plan)
The Service is provided "as is" and is continuously being developed and improved. Features may be added, modified, or removed at our discretion, though we will provide reasonable notice for significant changes that affect your use of the platform.
3. User Accounts
3.1 Account Creation
To use SaaSfolio, you must create an account by providing accurate and complete information. You are responsible for:
- Providing truthful and up-to-date account information
- Maintaining the security and confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access to your account
3.2 One Account Per Person
Each individual is permitted one account. Creating multiple accounts to circumvent plan limits or abuse the Service is prohibited and may result in account suspension.
3.3 Account Security
We implement industry-standard security measures to protect your account. However, you are responsible for choosing a strong password and keeping it secure. We will never ask you for your password via email or phone.
4. Plans & Billing
4.1 Free Plan
The Free plan is available at no cost and includes:
- Up to 5 tools
- Basic analytics
- Dashboard, client management, revenue tracking, and portfolio page
- Export data and notification settings
The Free plan may be used indefinitely. We reserve the right to modify the features included in the Free plan with reasonable notice.
4.2 Premium Plan
The Premium plan unlocks all features and is available in two billing options:
- Yearly: $10 per year, billed annually and renewing automatically unless cancelled
- Lifetime: $20 one-time payment for permanent access to all Premium features
Both options provide identical features, including unlimited tools, full tool details, advanced analytics, revenue charts, custom SMTP, and custom domain support.
4.3 Payment & Billing
- Payments are processed securely through our third-party payment provider
- Yearly subscriptions renew automatically. You will be charged at the then-current rate at each renewal unless you cancel before the renewal date
- All prices are in USD unless otherwise stated
- You are responsible for any applicable taxes in your jurisdiction
4.4 Refunds
We offer a 30-day money-back guarantee on both Yearly and Lifetime plans. If you are not satisfied with SaaSfolio within 30 days of your purchase, contact us for a full refund. After 30 days:
- Yearly plans: No partial refunds for unused subscription time, but you can cancel at any time and retain access until the end of your billing period
- Lifetime plans: No refunds after the 30-day guarantee period
4.5 Plan Changes
- Upgrading: You can upgrade from Free to Premium at any time. Premium features activate immediately upon payment
- Downgrading: If you cancel your Premium subscription, you retain access to Premium features until the end of your current billing period, after which your account reverts to the Free plan
- Switching: You can switch from Yearly to Lifetime at any time by paying the one-time Lifetime fee. Your existing subscription will be cancelled
4.6 Price Changes
We reserve the right to change our pricing. If we increase prices:
- Lifetime users keep their access forever at no additional cost
- Yearly subscribers maintain their current rate as long as their subscription remains active
- We will provide at least 30 days' notice before applying any price changes to new subscribers
5. Acceptable Use
You agree to use SaaSfolio only for its intended purpose — managing and analyzing your software tool portfolio. You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to other users' accounts or data
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Scrape, crawl, or use automated means to access the Service without our written consent
- Use the Service to store or transmit malicious code, viruses, or harmful content
- Resell, sublicense, or redistribute the Service or your account access to third parties
- Create multiple accounts to circumvent plan limits
- Use the custom SMTP feature to send spam, unsolicited emails, or phishing messages
- Upload false, misleading, or fraudulent data into the platform
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.
6. Your Data & Content
6.1 Ownership
You retain full ownership of all data you enter into SaaSfolio, including your portfolio data, tool information, revenue records, client details, and any other content you provide ("Your Data"). We do not claim any ownership rights over Your Data.
6.2 License Grant
By using the Service, you grant us a limited, non-exclusive, worldwide license to use, store, process, and display Your Data solely for the purpose of providing and improving the Service. This license ends when you delete Your Data or your account.
6.3 Data Export
You may export Your Data at any time using the Export feature available in the platform. This feature is available on both Free and Premium plans.
6.4 Data Accuracy
You are solely responsible for the accuracy of the data you enter into SaaSfolio. We provide analytics and calculations based on the data you input but do not independently verify its accuracy. SaaSfolio should not be used as your sole source of financial record-keeping.
6.5 Data Deletion
You may delete individual records or your entire account at any time. Upon account deletion, Your Data will be permanently removed from our active systems within 30 days. Data may persist in encrypted backups for an additional 30 days.
7. Intellectual Property
7.1 Our Intellectual Property
SaaSfolio and its original content, features, functionality, design, branding, and source code are and will remain the exclusive property of SaaSfolio and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
7.2 Restrictions
You may not copy, modify, distribute, sell, or lease any part of the Service or its software. You may not use the SaaSfolio name, logo, or branding without our prior written consent.
7.3 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us the right to use that Feedback without restriction or compensation. We are not obligated to implement any Feedback.
8. Custom Domains & SMTP
Premium users may configure custom domains and SMTP settings. By using these features, you agree to:
- Only configure domains that you own or have the right to use
- Complete domain verification (via CNAME) before the custom domain becomes active
- Use custom SMTP only for legitimate, transactional emails related to your SaaSfolio portfolio
- Not send bulk marketing emails, spam, or phishing messages through the SMTP feature
- Take full responsibility for compliance with applicable email regulations (CAN-SPAM, GDPR, etc.) when using custom SMTP
We reserve the right to disable custom domain or SMTP features if we detect abuse or violation of these terms.
9. Service Availability
9.1 Uptime
We strive to maintain high availability of the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Unscheduled outages caused by external factors beyond our control
- Emergency security updates
9.2 Modifications
We may modify, update, or discontinue features of the Service at any time. For significant changes that affect your workflow, we will provide reasonable notice. If we discontinue the entire Service, we will provide at least 90 days' notice and ensure you can export Your Data.
10. Disclaimers & Limitation of Liability
10.1 "As Is" Basis
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to:
- Merchantability and fitness for a particular purpose
- Accuracy or reliability of any analytics, calculations, or projections
- Uninterrupted, error-free, or secure operation of the Service
10.2 Financial Disclaimer
SaaSfolio is a portfolio tracking and analytics tool, not a financial advisory service. The data, calculations, projections, and insights provided by SaaSfolio (including ROI calculations, break-even projections, earning velocity, and revenue charts) are based solely on the data you input and are for informational purposes only. They do not constitute financial, investment, tax, or legal advice. You should consult with qualified professionals before making financial decisions.
10.3 Limitation of Liability
To the maximum extent permitted by law, SaaSfolio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities
- Decisions made based on data or analytics provided by the Service
- Service interruptions or data loss
- Unauthorized access to or alteration of your data
Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless SaaSfolio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content or data you submit to the Service
- Your use of custom domain or SMTP features
12. Termination
12.1 By You
You may terminate your account at any time by deleting your account through the platform settings or by contacting us. Upon termination:
- Your access to the Service will be immediately revoked
- Your Data will be deleted within 30 days (please export your data before deletion)
- If you have an active Yearly subscription, no refund will be issued for the remaining period
12.2 By Us
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use policies
- Your use of the Service poses a security risk or burden to other users
- We are required to do so by law
- Your account has been inactive for more than 24 consecutive months
For non-critical violations, we will attempt to provide notice and an opportunity to resolve the issue before terminating your account. In cases of severe abuse or security threats, we may terminate immediately.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email for significant changes
- We will post a notice on the platform
Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
14. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved as follows:
- Informal resolution: We encourage you to contact us first at legal@saasfolio.com to resolve any disputes informally
- Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration, except where prohibited by law
- Class action waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitrations
Nothing in these Terms prevents you from filing complaints with your local consumer protection authority.
